Terms of Service

These Terms of Service ("Terms") govern access to and use of Kelly, an
AI-assisted transaction workflow tool operated by Bolt Foundry ("Bolt Foundry,"
"we," "us," or "our"). By accessing or using Kelly, you agree to these Terms.

1. Service

Kelly is a workflow assistant designed to help real estate professionals
coordinate buyer-side transaction documents and status across tools such as
email, Keller Williams Command, DocuSign, and ZipForms.

Kelly is intended to assist with administrative workflow tasks such as:

  • monitoring intake and workflow status
  • creating or updating transaction records
  • organizing and moving documents between connected systems
  • tracking signature and review status
  • preparing items for user review and approval

Kelly is not a law firm, brokerage, escrow company, title company, or licensed
real estate brokerage. Kelly does not provide legal advice, tax advice,
compliance advice, or brokerage supervision.

2. Eligibility and Authority

You may use Kelly only if you have the legal authority to bind yourself or the
entity you represent and to authorize Kelly to access the systems, accounts,
documents, and information you connect to the service.

You are responsible for ensuring that your use of Kelly complies with your
agreements, brokerage policies, local rules, and applicable law.

3. User Responsibilities

You are responsible for:

  • providing accurate, complete, and current information
  • maintaining the confidentiality of your account credentials
  • ensuring that connected third-party systems are authorized for use
  • reviewing transaction materials before they are sent or submitted when human
    approval is required
  • supervising any client-facing, legal, or compliance-sensitive actions

You remain solely responsible for the contents of transaction documents,
business decisions, communications with clients, and the final review and
approval of materials sent for signature or compliance submission.

4. Human Review and Approval

Kelly is designed to support, not replace, human judgment.

In its current form, Kelly is intended to pause for user review before certain
high-impact actions, including:

  • sending documents for signature
  • submitting materials to a brokerage, market center, compliance team, or home
    office
  • taking actions where information is incomplete, conflicting, or materially
    ambiguous

You acknowledge that you are responsible for reviewing outputs and approvals
before taking action on them.

5. Third-Party Services

Kelly may interact with third-party services such as email providers, Keller
Williams Command, DocuSign, and ZipForms. Your use of those services is subject
to their own terms, privacy policies, and technical limitations.

We are not responsible for the availability, functionality, accuracy, security,
or changes made by third-party services.

6. No Professional Advice

Kelly and Bolt Foundry do not provide legal, tax, accounting, brokerage,
compliance, escrow, or title advice. Any information produced by Kelly is for
workflow assistance only. You should consult appropriate licensed or qualified
professionals when needed.

7. Data and Permissions

You grant us permission to process information and content you submit or make
available through connected systems solely for the purpose of operating,
maintaining, securing, and improving Kelly and providing the service to you.

You represent that you have the necessary rights and permissions to provide
that information and to authorize our access to connected accounts and systems.

8. Acceptable Use

You may not use Kelly to:

  • violate law, regulation, or third-party rights
  • misrepresent identity, authority, or transaction status
  • transmit malware, harmful code, or unauthorized instructions
  • attempt to gain unauthorized access to any system or account
  • use Kelly for spam, harassment, fraud, or deceptive activity

9. Availability and Changes

We may modify, suspend, or discontinue all or part of Kelly at any time. We do
not guarantee uninterrupted availability or that the service will always be
error-free.

We may update these Terms from time to time. Continued use of Kelly after an
update constitutes acceptance of the revised Terms.

10. Disclaimers

KELLY IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED
BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY,
INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT KELLY WILL BE ERROR-FREE, SECURE, OR SUITABLE FOR YOUR
SPECIFIC COMPLIANCE, LEGAL, OR BUSINESS REQUIREMENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOLT FOUNDRY AND ITS AFFILIATES,
OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES,
OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY,
ARISING OUT OF OR RELATED TO YOUR USE OF KELLY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS
ARISING OUT OF OR RELATING TO KELLY WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO
US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE
CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Bolt Foundry and its
affiliates, officers, employees, contractors, and agents from and against any
claims, liabilities, damages, losses, and expenses arising out of or related
to:

  • your use of Kelly
  • your violation of these Terms
  • your violation of law or third-party rights
  • your content, instructions, or connected-account permissions

13. Termination

We may suspend or terminate access to Kelly at any time if we believe you have
violated these Terms, created risk for us or others, or used the service in an
unauthorized manner.

You may stop using Kelly at any time.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard
to conflict of laws principles, except where another jurisdiction is required
by applicable law.
